Creator Programme Terms & Content Release

These Creator Programme Terms & Content Release ("Creator Terms") form a legally binding agreement between you ("Creator", "you") and LEKEELEKEE247 LTD ("LekeeLekee", "we", "us"), and apply in addition to our Terms of Service. By accepting these Creator Terms — when applying to the Creator Programme (either track), and again when accepting any Batch brief — you agree to be bound by them.

The Programme has two tracks. Part A (sections 3–9) applies to Commissioned Content. Part B (sections 11–16) applies to the Creator Rewards Programme. Sections 1, 2 and 10 apply to both.

1. Who We Are

LEKEELEKEE247 LTD is a company registered in England and Wales.

2. Definitions

• "Programme" — the LekeeLekee Creator Programme, under which we commission Creators to produce content.
• "Batch" — a specific commission communicated to you through the Programme (a brief), stating the number of clips, the creative directive, any deadline, and the payment payable on approval.
• "Commissioned Content" — the video clips and any associated material you create and submit in response to a Batch.
• "Group" — LEKEELEKEE247 LTD and its affiliated and associated media properties, including Arise News and THISDAY.

3. The Engagement

• Participation in the Programme is by application and selection. Acceptance into the Programme, and the offer of any Batch, is at our sole discretion.
• Each Batch is a separate, self-contained commission. Nothing is owed by either party beyond an accepted Batch — we are not obliged to offer further Batches, and you are not obliged to accept them.
• You are an independent contractor. Nothing in these Creator Terms creates an employment relationship, partnership, or agency.
• Approval of submitted Commissioned Content is at our reasonable discretion, judged against the Batch brief.

4. Payment

• Payment for each Batch is the amount stated in the Batch brief, payable on approval of the Batch, credited to your LekeeLekee wallet in Nigerian Naira (or such other method as we agree with you in writing).
• No payment is due for Commissioned Content that is not approved, or for content submitted outside an accepted Batch.
• You are solely responsible for any taxes arising on amounts paid to you.

5. Licence of Rights — Worldwide

You retain ownership of the copyright in your Commissioned Content. In consideration of the payment in section 4, you grant LEKEELEKEE247 LTD a worldwide, royalty-free, perpetual, irrevocable, sublicensable and transferable licence to host, store, use, display, reproduce, adapt, edit, translate, publish, distribute, communicate to the public, broadcast, and create derivative works of your Commissioned Content, in whole or in part, in any media now known or later developed, including:

• on the LekeeLekee platform and in LekeeLekee marketing and promotion;
• across the Group — including television broadcast on Arise News and publication in print and online by THISDAY — with credit to you where reasonably practicable.

LekeeLekee-first window: you agree to publish each clip of Commissioned Content on LekeeLekee first, and not to publish it on any other platform for 72 hours after it goes live on LekeeLekee. After that window you are free to cross-post your content to your own channels.

To the extent permitted by law, you waive your moral rights in the Commissioned Content in favour of the uses licensed above (we will still credit you where reasonably practicable).

6. Your Warranties — Originality & Ownership

You represent and warrant, for every clip of Commissioned Content you submit, that:

• it is wholly original content created by you, and you are its sole author;
• you own the full copyright in it, free of any claim, lien, or licence to any third party that would conflict with the rights granted here;
• it does not use other people's content — including any third-party footage, music, sound recordings, images, graphics, or text — unless you hold a written licence covering all uses licensed in section 5 and have told us so in writing at submission;
• every identifiable person appearing in it has given consent to be filmed and to the uses licensed in section 5, and you can evidence that consent on request;
• it does not infringe any intellectual property, privacy, or other right of any person, is not defamatory, and complies with our Community Guidelines and all applicable laws;
• you are at least 18 years old and have full capacity to enter into these Creator Terms.

7. Submission & Quality

• Commissioned Content must be published on LekeeLekee and the live post links submitted through your Programme page.
• At submission you must confirm that each clip is clearly visible and clearly audible. Content that cannot be seen and heard clearly may be rejected on quality grounds alone.
• Unless the brief says otherwise, clips in a Batch should be published individually over the course of the Batch period, not all at once.

8. Takedown & Termination

• We may decline, remove, or cease using any Commissioned Content at any time.
• We may suspend or remove you from the Programme at any time, including for breach of these Creator Terms or our Terms of Service. Approved and paid Batches are unaffected; the licence in section 5 survives for Commissioned Content already paid for.
• You may leave the Programme at any time by written notice; any Batch already accepted must be completed or withdrawn by agreement.

9. Indemnity

You will indemnify LEKEELEKEE247 LTD and the Group against losses, claims, and expenses arising from any breach of your warranties in section 6, including third-party claims that your Commissioned Content infringes their rights.

10. General

• Independent status. You take part in the Creator Programme (both the Commissioned Content and Creator Rewards tracks) as an independent contractor. Nothing in these Creator Terms creates an employment, agency, or partnership relationship between you and LEKEELEKEE247 LTD.
• Tax. All amounts are stated and paid gross. You are solely responsible for registering for, reporting, and paying any tax due on amounts you receive under the Programme — including personal income tax and, where applicable, VAT or other levies — in your country of tax residence. Where any law requires us to deduct or withhold tax or other amounts from a payment to you, we may do so and pay you the net amount, and payment of the net amount discharges our obligation in respect of the amount withheld. We may require tax information from you (for example a Tax Identification Number) before making or continuing payments, and may suspend payments until it is provided.
• We may update these Creator Terms; the version you accept at application and at each Batch acceptance is recorded, and material changes will be notified to you before your next Batch.
• These Creator Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
• If any provision is found unenforceable, the remainder continues in force.

Part B

11. The Creator Rewards Programme

• The Creator Rewards Programme ("Rewards Programme") is a discretionary programme under which we fund a pool each calendar month (each a "Cycle") and distribute it among enrolled members ("Members") in proportion to each Member's Qualifying Engagement Score for that Cycle.
• The size of the pool is determined by us for each Cycle and may change from Cycle to Cycle. We are not obliged to publish the pool amount.
• Enrolment is by application. Acceptance, and continued membership, are at our sole discretion. Meeting the published eligibility criteria makes you eligible to apply; it does not create a right to be enrolled or to receive any payment.
• One membership per person. Pages and secondary profiles you operate are treated as part of your single membership, and activity is attributed to the owning account.

12. Qualifying Engagement — What Counts

• "Qualifying Engagement" means reactions, comments, and shares received during a Cycle, from Qualifying Accounts, on your original posts on LekeeLekee — including posts made by pages linked to your account — as measured by our systems.
• A "Qualifying Account" is a LekeeLekee account that: (a) has been registered for at least 30 days at the time of the engagement; (b) is in good standing (not suspended, banned, restricted, or flagged); (c) is not you; and (d) is not owned, operated, or controlled by you.
• Different engagement types carry different weights in the Qualifying Engagement Score. As at the date of these Creator Terms the weights are: reaction ×1, plain repost ×2, comment ×3, quote repost (a repost with the sharer's own added text) ×4. The weighting in force is shown on the programme page and may be revised by us with effect for future Cycles.

13. What Does Not Count

The following never form part of a Qualifying Engagement Score:

• Your own engagement with your own content.
• Engagement from accounts you own, operate, or control — including pages linked to your account, and accounts sharing registration details, devices, or a payout destination with you.
• Engagement from accounts registered fewer than 30 days before the engagement.
• Engagement from accounts that are, or are subsequently, suspended, banned, or removed for breach of our Terms of Service.
• Engagement from other enrolled Members, with effect from the date of their enrolment.
• Engagement from any single account beyond a per-account fairness cap. As at the date of these Creator Terms, no single account (together with any pages it operates) contributes more than 2% of a Member's counted engagement in a Cycle, subject to a minimum allowance we set so that Members with small audiences are not disadvantaged. We may revise the cap with effect for future Cycles.
• Engagement that we reasonably determine to be artificial, automated, purchased, incentivised, reciprocal-scheme, or otherwise coordinated to inflate a score.
• Engagement on content that is removed for breach of our content rules.

14. Measurement & Finality

• Qualifying Engagement is measured solely by our systems. Because the exclusions in section 13 are applied automatically, your Qualifying Engagement will typically be lower than the raw engagement counts displayed on your posts. A difference between the two is not an error.
• Our calculation of Qualifying Engagement Scores and pool shares is final. We do not provide itemised breakdowns of which individual engagements were included or excluded, as doing so would undermine the integrity systems that protect all Members.
• Unpublished methodology. The published weights and exclusions are minimums, not the whole methodology. We deliberately apply additional signals, weightings, caps, and anti-abuse checks that are not published — and revise them without notice — because publishing them would make the programme trivially easy to manipulate. By enrolling you accept that part of the methodology is, and will remain, confidential.
• Discretionary additional rewards. We may, at our sole discretion, award additional rewards on top of pool shares — for example in recognition of referring genuine new members who become active participants. Any such rewards are assessed using unpublished criteria, are discretionary in amount and timing, may be changed or withdrawn at any time, and create no entitlement or expectation for any Cycle.
• Any estimate, preview, or projection shown in the app (including the earnings preview) is indicative only, is not an offer or guarantee, and may differ from the amount actually paid.
• We may correct manifest errors in any calculation, before or after payment.

15. Payment

• Distributions are calculated after the end of each Cycle and credited in Nigerian Naira to your verified LekeeLekee wallet, normally on or around the 15th day of the following month.
• Per-Member share cap. To keep distributions broad-based, no single Member may receive more than a capped proportion of any Cycle’s pool, however high their score; any excess is redistributed pro-rata among other Members. The cap level is set by us, is deliberately not published, and may be revised with effect for future Cycles.
• Payment eligibility. Wallet verification currently requires a Nigerian Bank Verification Number (BVN). The programme is therefore presently open only to Members able to complete Nigerian bank verification; we may add payout methods for other countries in future, and will update these Creator Terms when we do.
• To receive a distribution you must, at the end of the Cycle: be an enrolled Member in good standing, continue to meet the eligibility criteria, and hold a verified wallet.
• We may withhold a distribution, in whole or part, while we investigate suspected breach of section 13 or 16, and release or forfeit it according to the outcome.
• Unclaimed distributions. If a distribution cannot be paid because you do not hold a verified, active LekeeLekee wallet (or your wallet cannot lawfully be credited), we will hold it for 90 days from the Cycle’s payment date. We will make reasonable efforts to notify you during that period. If you have not verified an active wallet within the 90 days, the distribution is forfeited and returns to the programme, and we have no further obligation in respect of it. We may honour a late claim at our sole discretion, but are not required to.
• You are solely responsible for any taxes arising on amounts paid to you.

16. Fair Play, Changes & Ending the Programme

• Attempting to manipulate a Qualifying Engagement Score — including through secondary accounts, engagement exchanges, purchased engagement, or automation — results in removal from the Rewards Programme and forfeiture of any unpaid distributions, and may lead to action under our Terms of Service.
• We may amend the eligibility criteria, weightings, exclusions, or these Part B terms with effect for future Cycles, and will publish changes on the programme page.
• We may suspend or withdraw the Rewards Programme at any time. Distributions already paid are unaffected; no compensation is payable for future Cycles.
• Membership of the Rewards Programme does not create an employment relationship, partnership, or agency, and does not entitle you to Commissioned Content Batches (or vice versa).
